MATEXT licence
Our commercial license allows active subscribers to use textures in commercial projects. Canceling your subscription revokes this right, but you can continue using the textures for personal and non-commercial projects.

Licenses are individual and non-transferable. Companies needing broader access can contact us for custom plans.

By using our textures, you agree to our terms. For detailed restrictions, refer to the full license policy.

Rights of use
1. Commercial License

A. How can I use licensed content?

You may use licensed content in any way that is not restricted (see "Restricted Uses" below). Subject to these restrictions and the terms of this agreement, MATEXT grants you the following rights:

Perpetual: The rights to use content downloaded during your subscription do not expire.
Non-exclusive: You do not have exclusive rights to the content, and MATEXT may license the same content to other customers.
Worldwide: The content can be used in any geographic region.
Unlimited: The content can be used in an unlimited number of projects and across any media.For the purposes of this agreement, “use” includes copying, reproducing, modifying, editing, synchronizing, performing, displaying, broadcasting, publishing, or otherwise utilizing the content.

B. Is photo credit required?
No. You are not required to include photo credit for content purchased from MATEXT.

Examples of Permitted Uses

Websites, blog posts, and social media.
- Advertisements and marketing campaigns.
- Corporate presentations and product packaging.
- Newspapers, magazines, books, films, and television productions.
- Web and mobile applications.

Important Note:
MATEXT grants a commercial license only to active subscribers. If your subscription is canceled, your rights to use purchased textures for commercial purposes are immediately revoked. However, you may continue to use the textures for personal and non-commercial projects.

By using our textures, you agree to MATEXT’s commercial license terms and usage policy.

2. Restricted Uses

A. No Unlawful Use

Content may not be used in any unlawful manner, including but not limited to:
- Pornographic, defamatory, or violent content.
- Content that promotes hatred or violates regulations or industry codes.

B. No Standalone File Use
Content cannot be shared, distributed, or made available as a standalone file separate from your project or final use.

C. No False Representation of Authorship
You may not claim to be the original creator of content that is primarily composed of licensed materials. For example, you cannot create a painting based entirely on licensed content and present it as your own.

D. No Products for Resale
Unless an extended license is purchased, content cannot be used in goods or services where the content itself is the primary value (e.g., calendars, apparel, posters, or other items for resale). This restriction also applies to “on-demand” products such as custom-designed t-shirts, mugs, or posters.

E. No Use in Electronic Templates
Unless an extended license is purchased, content cannot be used in templates intended for resale, such as website or brochure templates.

F. No AI Training
It is strictly prohibited to use MATEXT textures for training artificial intelligence (AI) models or algorithms. Any use of textures for AI training, development, or improvement is a violation of our terms. Unauthorized use for these purposes may result in legal action. For inquiries regarding specific AI-related usage, contact MATEXT customer support.

3. Who Can Use the Licensed Content?

Non-transferable and Non-sublicensable

The rights granted are exclusive to you and cannot be transferred or sublicensed, except in the following cases:

Employer or Client:
If you are acting on behalf of your employer or client, they may use the content. You must have the legal authority to bind them to this agreement.

Subcontractors:
You may allow subcontractors (e.g., printers or distributors) to use content solely for your projects. Subcontractors may not use the content for other purposes.

4. Refunds and Cancellation

A. File Download Refunds

MATEXT does not offer refunds or re-credits for downloaded files. Refunds may only be granted at MATEXT's sole discretion in cases of proven technical issues with the files, provided these issues are reported within 7 days of purchase. All refund or cancellation requests must be submitted in writing to MATEXT's support team. Upon cancellation or refund approval, your rights to use the downloaded content are immediately revoked.

5. Representations and Warranties

A. Warranty of Non-Infringement

MATEXT guarantees that content licensed under this agreement will not infringe on intellectual property rights, provided it is used in accordance with the agreement and as delivered by MATEXT. However, you are responsible for any modifications you make to the content.

B. Metadata Disclaimer
While MATEXT strives to provide accurate categorization, keywords, captions, and metadata, it does not guarantee their accuracy.

C. Indemnification
You agree to indemnify and hold harmless MATEXT, its affiliates, and licensors from all liabilities, damages, and expenses (including legal fees) arising from your breach of this agreement.

D. Limitation of Liability
MATEXT is not liable for indirect, consequential, or incidental damages arising from this agreement, even if advised of the possibility of such damages.

6. General Provisions

A. Assignment

This agreement is personal to you and cannot be assigned without MATEXT's written consent. MATEXT may assign this agreement to affiliates or successors.

B. Entire Agreement
This agreement represents the entire understanding between you and MATEXT. Amendments must be made in writing and signed by both parties.

C. Governing Law and Arbitration
This agreement is governed by the laws of the Swiss Confederation. Any disputes will be resolved in Berne, Switzerland.

D. Notice
All notices to MATEXT must be sent via email.
